Introduction

These Terms and Conditions ("Terms") govern your access to and use of Tippified, a creator monetization platform owned and operated by Grundex Limited ("Grundex", "Tippified", "we", "our").

Tippified enables creators, artists, influencers, public figures, celebrities and other eligible users ("Creators") to receive voluntary monetary tips and virtual gifts from supporters ("Fans") through licensed third-party payment providers.

Tippified is not a bank, financial institution, payment processor, electronic money institution, digital wallet provider or fintech company. Tippified does not accept deposits, hold customer funds as a financial institution, provide lending services, issue electronic money or process payments directly.

All payment transactions are securely processed through licensed third-party payment service providers and regulated banking partners.

By creating an account, accessing, browsing or using Tippified, you acknowledge that you have read, understood and agreed to be bound by these Terms together with our Privacy Policy and any other policies published on our platform.

1. Definitions

"Tippified" refers to the creator monetization platform owned and operated by Grundex Limited.

"Grundex Limited" refers to the Nigerian company responsible for operating and managing Tippified.

"Creator" means a registered user who receives monetary tips or virtual gifts from Fans.

"Fan" means any individual who voluntarily supports a Creator through monetary tips or virtual gifts.

"Tip" means a voluntary monetary contribution sent by a Fan to a Creator.

"Virtual Gift" means a digital item purchased by a Fan and sent to a Creator through Tippified.

"Payment Partner" means any licensed payment processor used by Tippified to facilitate transactions, including but not limited to Paystack.

"Settlement Partner" means any licensed banking institution engaged by Tippified to facilitate settlement and payouts to Creators.

2. Eligibility

You may only use Tippified if you satisfy all applicable legal requirements and are capable of entering into a legally binding agreement.

By using Tippified you represent and warrant that:

You are at least 18 years of age.
You have the legal capacity to enter into binding contracts.
You will provide truthful and accurate information.
You will comply with all applicable Nigerian laws and regulations.
You are not prohibited from using our services under any applicable law.

Tippified reserves the right to refuse access, suspend or terminate accounts that fail to satisfy these eligibility requirements.

3. Accounts and Registration

Certain features of Tippified require users to create an account. During registration you agree to provide complete, accurate and up-to-date information.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities carried out using your account.

You agree to notify Tippified immediately if you suspect any unauthorized access, security breach or misuse of your account.

Tippified may request additional information at any time to verify your identity or to comply with applicable laws and regulatory obligations.

We reserve the right to reject, suspend or permanently terminate any account that contains false, misleading or fraudulent information.

4. Creator Verification

To maintain the integrity of the platform and protect both Fans and Creators, Tippified operates a Creator verification process before allowing withdrawals from the platform.

As part of this verification process, Creators may be required to submit their Bank Verification Number (BVN), bank account information and other identity details requested by Tippified.

The BVN verification process enables Tippified to:

Verify that the Creator is a real individual.
Reduce identity theft and impersonation.
Prevent fraudulent withdrawals.
Protect Fans from supporting fake accounts.
Comply with applicable regulatory and anti-fraud obligations.

Tippified does not generate or issue BVNs and does not alter any BVN records. Verification is carried out through authorized third-party verification providers.

Submission of false identity information, another person's BVN, forged documents or misleading information may result in immediate suspension or permanent termination of the account.

5. Platform Services

Tippified is a creator monetization platform designed to enable Fans to voluntarily support Creators through monetary tips and virtual gifts.

Tippified does not operate as a financial institution, payment processor, money transfer service or digital wallet provider.

Our services currently include, but are not limited to:

Creator profile pages.
Personalized tipping links.
QR codes for receiving tips.
Virtual gift purchases.
Creator dashboards.
Wallet balance display.
Transaction history.
Creator withdrawal requests.
Goals and fundraising features.
Wishlist features.
Any future services introduced by Tippified.

Tippified reserves the right to modify, suspend, discontinue or introduce new platform features at any time without prior notice.

6. Payments, Tips and Virtual Gifts

Fans may voluntarily send monetary tips or purchase virtual gifts for Creators using the payment options made available on Tippified.

All payment transactions are processed securely by licensed third-party payment processors. Tippified itself does not directly process card payments or bank transfers.

By making a payment you acknowledge and agree that:

All tips are voluntary.
Virtual gifts are voluntary purchases.
You are authorized to use the selected payment method.
You will not initiate fraudulent or unauthorized transactions.
You understand that payment processing is handled by licensed third-party payment providers.

Once a payment has been successfully completed, the transaction will be reflected within the Creator's bank account by partner, Paystack.

Tippified reserves the right to reject, suspend, reverse or investigate transactions where fraud, payment disputes, chargebacks, unauthorized activity or violations of these Terms are suspected.

Fans acknowledge that sending a tip or purchasing a virtual gift does not create any ownership rights, contractual relationship or entitlement over the Creator or the Creator' content.

4. Platform Services

Tippified provides a technology platform that enables fans and supporters to voluntarily send monetary tips and virtual gifts to eligible content creators, influencers, artists, public figures, and other approved users ("Creators").

Tippified is not a bank, financial institution, payment service provider, money transfer service, or fintech company. Tippified does not accept deposits, issue electronic money, operate customer bank accounts, or hold customer funds in its own capacity.

All payment processing is performed by duly licensed third-party payment providers, Tippified's role is limited to providing the software platform, maintaining tracked tips. .

5. Creator Verification (KYC)

To protect the integrity of the platform and comply with applicable Nigerian laws, every Creator must complete identity verification before becoming eligible to update bank account for fund settlement.

Verification may include, but is not limited to:

Bank Verification Number (BVN) validation.
Name verification against official banking records.
Verification of the Creator's bank account.
Additional Know Your Customer (KYC) checks where necessary.

Tippified reserves the right to reject, suspend, or terminate any account where verification fails or where false, misleading, or fraudulent information has been provided.

6. Tips, Gifts and Payments

Fans voluntarily send monetary support or virtual gifts to Creators through secure payment channels provided by licensed third-party payment processors.

By making a payment, you acknowledge that:

All tips and gifts are voluntary.
Payments are generally non-refundable except where required by law.
You are solely responsible for confirming the intended "Creator" before making any payment.
Tippified does not guarantee that any Creator will provide products, services, acknowledgements, or responses in exchange for tips or gifts.

Tippified shall not be liable for disputes arising between fans and Creators regarding expectations, promises, or representations made outside the platform.

7. Platform Fees

Tippified generates revenue by charging a platform service fee on eligible transactions processed through the platform.

Unless otherwise communicated by Tippified, the applicable platform fee shall be deducted automatically before settlement to the verified "Creator".

Tippified reserves the right to modify its fee structure at any time. Any changes shall be communicated through the platform, by email, or by other reasonable means prior to taking effect.

Third-party payment processors, banks, or financial institutions may also charge independent processing, transfer, settlement, or currency conversion fees, which are outside Tippified's control.

8. Payouts and Settlement

Funds received on behalf of verified Creators are settled through regulated financial institutions and banking partners designated by Tippified.

Tippified maintains a tracked record of Creator's tips.

Payouts shall only be made to the verified bank account associated with the Creator's Tippified account. Tippified shall not be responsible for losses arising from inaccurate banking information supplied by the Creator.

9. Fraud Prevention and Account Suspension

Tippified operates a zero-tolerance policy towards fraud, money laundering, terrorist financing, identity theft, account manipulation, chargeback abuse, or any other unlawful activity.

We may immediately suspend, restrict, freeze, or permanently terminate any account where we reasonably believe that the account has been used for fraudulent or prohibited activities.

Users agree to cooperate fully with any investigation relating to suspicious activity conducted by Tippified or any competent regulatory authority.

Where an investigation confirms fraudulent conduct, Tippified reserves the right to permanently terminate the account and take any additional legal or regulatory action available under applicable law.

10. Prohibited Activities

Users shall not use Tippified for any unlawful, fraudulent, deceptive, or prohibited purpose. By using the platform, every User agrees not to engage in activities that may compromise the security, integrity, reputation, or lawful operation of Tippified.

Prohibited activities include, but are not limited to:

Money laundering or terrorist financing.
Identity theft or impersonation of another person or organization.
Creating multiple accounts to manipulate platform features.
Submitting false or misleading identity or banking information.
Using stolen payment cards or unauthorized payment methods.
Attempting to reverse engineer, hack, disrupt, or interfere with the platform.
Uploading malicious software, viruses, bots, or automated scripts.
Using Tippified to facilitate illegal products, services, gambling, scams, or fraudulent fundraising.
Violating the intellectual property rights of another person.

Tippified reserves the right to investigate any suspected violation and may suspend, terminate, or permanently ban offending accounts without prior notice.

11. Intellectual Property Rights

The Tippified platform, including its name, logo, trademarks, software, website design, databases, graphics, text, icons, source code, and all other proprietary materials are owned by or licensed to Grundex Limited and are protected under applicable intellectual property laws.

Nothing contained in these Terms grants any User ownership or license to use Tippified's intellectual property except as expressly permitted.

Users shall not copy, reproduce, modify, distribute, sell, reverse engineer, publish, or commercially exploit any part of the platform without prior written permission from Grundex Limited.

Each "Creator" retains ownership of the original content uploaded to their profile. However, by uploading content to Tippified, the "Creator" grants Tippified a non-exclusive, worldwide, royalty-free license to display, reproduce, store, and distribute such content solely for the purpose of operating, promoting, improving, and maintaining the platform.

12. User Content

Users are solely responsible for all content, profile information, images, usernames, biographies, links, wish lists, livestreams, and other materials they upload or publish on Tippified.

Users warrant that any content uploaded to Tippified:

Belongs to them or they possess the necessary rights to publish it.
Does not infringe the intellectual property rights of another person.
Is not defamatory, abusive, obscene, hateful, discriminatory, or unlawful.
Does not promote violence, terrorism, fraud, or criminal activity.
Complies with all applicable Nigerian laws and regulations.

Tippified reserves the right, but not the obligation, to remove, restrict, or disable any content that violates these Terms or may expose the platform, its Users, or third parties to legal, regulatory, or reputational risk.

Tippified may also preserve and disclose User content where required by law, court order, regulatory directive, or where reasonably necessary to protect the rights, safety, or security of the platform, its Users, or the public.

11. Fraud Prevention and Security

Tippified maintains strict security measures to protect the integrity of the Platform and the safety of its users.

Every Creator must successfully complete Tippified's identity verification process before becoming eligible to receive payouts. This verification currently includes Bank Verification Number (BVN) verification and may be expanded to include additional verification methods where required by law or our banking partners.

Tippified reserves the right to request additional documentation, suspend payouts, restrict account functionality, or permanently terminate accounts where fraudulent activity, identity theft, impersonation, unauthorized access, or other suspicious behavior is detected.

Users agree to cooperate fully with any investigation carried out by Tippified, our payment processors, our banking partners, or competent regulatory authorities.

12. Intellectual Property

Tippified, the Tippified logo, designs, graphics, software, documentation, trademarks, service marks, and all Platform content remain the exclusive property of Grundex Limited unless otherwise stated.

Users may not copy, reproduce, distribute, modify, reverse engineer, publish, transmit, create derivative works from, or commercially exploit any part of the Platform without prior written permission from Grundex Limited.

Creators retain ownership of the content they upload to the Platform but grant Tippified a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute such content solely for operating and promoting the Platform.

13. Acceptable Use Policy

Users agree not to use the Platform to engage in unlawful, fraudulent, abusive, harmful, misleading, defamatory, or deceptive activities.

Users must not:

Impersonate another individual or organization.
Use stolen identities or financial information.
Promote illegal goods or services.
Upload malicious software or harmful code.
Attempt to interfere with the operation of the Platform.
Use the Platform for money laundering or terrorist financing.
Mislead Fans regarding donations or fundraising activities.

Violation of this policy may result in immediate suspension or permanent termination without prior notice.

14. Third-Party Services

The Platform integrates with trusted third-party service providers, including payment processors, banking institutions, identity verification providers, cloud hosting providers, analytics providers, and other technology partners.

Such third-party services operate under their own terms and privacy policies. Tippified is not responsible for the acts, omissions, availability, or performance of these independent third parties.

By using the Platform, you acknowledge that certain information may be shared with these providers solely for the purpose of delivering the services requested.

15. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Grundex Limited does not warrant that the Platform will always be uninterrupted, error-free, secure, or free from viruses or harmful components.

While we make every reasonable effort to maintain the availability and security of the Platform, uninterrupted service cannot be guaranteed.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Grundex Limited, Tippified, its directors, officers, employees, contractors, affiliates, licensors, banking partners, and service providers shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to your use of the Platform.

This includes, without limitation, loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, data loss, service interruptions, payment delays, unauthorized access, cyberattacks, technological failures, or third-party service interruptions.

Tippified acts solely as a technology platform connecting Fans and "Creators". We do not guarantee that any Fan will send support, that any "Creator" will receive a particular amount of earnings, or that the Platform will always operate without interruption.

Where liability cannot legally be excluded, our aggregate liability shall not exceed the total platform fees actually received by Tippified from the transaction giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Grundex Limited, Tippified, its directors, officers, employees, affiliates, contractors, licensors, banking partners, and service providers from and against any claims, actions, liabilities, losses, damages, judgments, penalties, fines, costs, and expenses (including reasonable legal fees) arising from or relating to:

Your breach of these Terms.
Your misuse of the Platform.
Your violation of any applicable law or regulation.
Your infringement of another person&qpos; intellectual property or privacy rights.
Your fraudulent, negligent, or unlawful conduct.

This obligation survives the termination of your use of the Platform.

18. Dispute Resolution

Tippified encourages Users to first contact our support team to resolve any complaints or disputes amicably.

Where a dispute cannot be resolved through informal discussions, the parties agree to attempt good-faith negotiations before commencing formal legal proceedings.

Nothing in these Terms prevents Tippified from seeking immediate injunctive relief or cooperating with law enforcement or regulatory authorities where necessary to protect the Platform, its Users, or the public.

Users agree that disputes arising from these Terms shall be resolved in accordance with the laws of the Federal Republic of Nigeria.

19. Changes to these Terms

Tippified reserves the right to modify, amend, update, replace, or revise these Terms at any time in order to reflect changes in our services, technology, regulatory requirements, business operations, or applicable laws.

Where changes are material, we will make reasonable efforts to notify Users through the Platform, by email, or by any other appropriate communication channel before such changes become effective.

Your continued access to or use of the Platform after any revised Terms become effective constitutes your acceptance of those revised Terms. If you do not agree with any modification, you must discontinue your use of the Platform immediately.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Tippified shall not be responsible for any delay or failure in performing its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, civil unrest, war, terrorism, labour disputes, internet failures, banking disruptions, payment processor outages, cyberattacks, epidemics, pandemics, or other force majeure events.

20. Governing Law and Contact Information

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to any conflict of law principles.

Subject to applicable dispute resolution requirements under Nigerian law, the courts of the Federal Republic of Nigeria shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Platform.

Tippified is a product of Grundex Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria.
